2. Service Description

nosweat.finance is a web-based software service that helps Estonian micro-enterprises (mikroettevõtjad) prepare their annual report (majandusaasta aruanne) for submission to the Estonian Business Register (Äriregister).

The service includes:

  • Parsing and structuring bank statement data (CSV format)
  • AI-assisted categorisation of bank transactions to accounting categories
  • Calculation of balance sheet and income statement figures
  • Generation of a report file in XBRL/XML format compatible with the Äriregister submission portal (ettevõtjaportaal.rik.ee)
  • Generation of a PDF preview of the annual report

The service does not include:

  • Accounting services (raamatupidamisteenus) within the meaning of the Raamatupidamise seadus
  • Legal or tax advice
  • Submission of the annual report to Äriregister on the user's behalf — submission must be performed and digitally signed by the user personally
  • Audit or assurance of the annual report

3. Eligibility

The service is designed for and available only to:

  1. OÜ legal form — private limited companies (osaühing) registered in Estonia
  2. Non-VAT-registered companies — companies that are not käibemaksukohustuslane (VAT payers) at the start of the financial year being reported
  3. Mikroettevõtja — companies that meet the micro-enterprise criteria under Raamatupidamise seadus § 3 p. 14 (at least two of: total assets ≤ €450,000; annual revenue ≤ €900,000; average employees ≤ 10)
  4. The user must be a member of the management board (juhatuse liige) of the company on whose behalf they are using the service

We reserve the right to verify eligibility using Äriregister data and to suspend access if eligibility conditions are not met or are no longer met after registration.

4. Account Registration

To use the service you must create an account. You may authenticate using:

  • Estonian eID (ID-kaart, Mobiil-ID, Smart-ID) via SK ID Solutions
  • Google or Facebook OAuth
  • Email address and password (two-factor authentication required)

You are responsible for keeping your account credentials secure. You must not share your account with others. You must notify us immediately at support@nosweat.finance if you suspect unauthorised access to your account.

5. User Obligations

By using nosweat.finance you agree that:

5.1 Data accuracy. You are responsible for the accuracy and completeness of all data you provide, including bank statements, company details, salary information, loan balances, and any manual entries.

5.2 AI categorisation review. Transaction categorisations suggested by the AI are suggestions only. You must review and confirm all categorisations before the report is generated. Accepting an incorrect categorisation is your responsibility, not nosweat.finance's.

5.3 Report accuracy and submission. The annual report is submitted to Äriregister under your name and digital signature. You are legally responsible for the accuracy of the submitted report under Äriseadustik (ÄS) and Raamatupidamise seadus (RPS). nosweat.finance facilitates preparation only.

5.4 One account per person. Each natural person may maintain one account. You must not create multiple accounts to circumvent access restrictions.

5.5 Lawful use. You must not use the service for any unlawful purpose, attempt to reverse-engineer the service, or interfere with its operation.

6. Payment Terms

6.1 Price. The fee is €49 (forty-nine euros) per annual report, meaning per company per financial year. VAT is not applied (the service provider is not VAT-registered at launch; this section will be updated if VAT registration status changes).

6.2 When payment is due. Payment is required after eligibility checks pass and before data entry begins. No data entry is possible without payment.

6.3 Scope of payment. One payment covers all exports and re-exports of the report for the same company and financial year, including corrections made after an initial export. A company with reports for two different financial years requires two separate payments.

6.4 Payment processing. Payments are processed by LHV Payment Gateway (lhv.ee). Accepted payment methods: LHV, SEB, Swedbank, Coop bank transfers. Your payment data is processed by LHV Payment Gateway under their terms and privacy policy.

6.5 Right of withdrawal (taganemisõigus). Under VÕS § 53(4), you have a 14-day right to withdraw from a distance contract without giving a reason. The right of withdrawal lapses once the service has been fully performed (VÕS § 53(4)¹ — digital services). Refunds are governed by section 6.6.

6.6 Refunds. If the tool fails to generate a valid XBRL file in the required format, we will refund the full payment without further questions. To request a refund, email support@nosweat.finance with a short description. Dissatisfaction with AI categorisation quality, errors in user-provided data, or a decision not to complete the report do not entitle the user to a refund.

7. Limitation of Liability

7.1 No accounting or legal advice. Nothing produced by nosweat.finance constitutes accounting advice, tax advice, or legal advice. If you are unsure whether your annual report is accurate, consult a qualified accountant (vandeaudiitor or raamatupidaja).

7.2 Consequential loss. To the maximum extent permitted by applicable law, nosweat.finance is not liable for any indirect, incidental, consequential, or punitive damages arising from use of the service, including but not limited to fines or penalties from Äriregister, MTA, or any other authority resulting from inaccurate annual reports.

7.3 Direct loss cap. Our total liability for direct damages arising from any one claim is limited to the amount you paid for the specific report to which the claim relates.

7.4 Service availability. We do not guarantee uninterrupted or error-free availability of the service. We will endeavour to provide advance notice of planned maintenance.

7.5 Third-party services. The service relies on Äriregister's API, LHV Payment Gateway, SK ID Solutions, Supabase, and other third parties. We are not liable for failures, downtime, or errors in those services.

8. Intellectual Property

The software, design, and content of nosweat.finance are the intellectual property of Nosweat Finance OÜ. Your annual report data belongs to you. We do not claim ownership of any data you input or reports generated on your behalf.

10. Account Suspension and Termination

10.1 By you. You may close your account at any time via /settings. Upon closure, your personal account data is deleted within 30 days. Report and transaction data is retained for the legally required period (see Privacy Policy § 5).

10.2 By us. We may suspend or terminate accounts that violate these Terms, attempt fraud, or are inactive for more than 3 years.

11. Changes to Terms

We will notify registered users by email at least 14 days before any material changes to these Terms take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
